Master Service Agreement for Talent Acquisition as a Service (TAaaS)
Upon signing this agreement, the Client agrees to the following terms:
Cygnify Pte. Ltd, UEN: 202329526G ("Company") and the signee of this agreement ("Client").
1. Services
1.a. The Company agrees to provide Talent Acquisition as a Service (TAaaS) to the Client in accordance with the terms outlined in this Agreement.
1.b. The services include, but are not limited to, recruitment process management, candidate sourcing, resume screening, interview coordination, employer branding, job posting, recruitment analytics, and dedicated account management.
2. Recommended Service Level Agreements (SLAs)
2.a Role Fulfilment:

Upon confirmation of the role, the recruitment process is initiated.

Within 10 days, a shortlist will be sent to the Client.

Client to provide feedback on the shortlist within 48 hours.

Interviews will be scheduled and completed within 10 days, depending on the interviewer's availability.

Upon conclusion of interviews, a successful candidate is chosen, and a salary offer range is proposed to the Client within 48-72 hours.

After Client approval, the offer is extended to the candidate within 24-48 hours, and the candidate is expected to sign within 48-72 hours.
2.b. Completion: Upon candidate signing the Client employment contract, the job requisition process is deemed complete.
2.c. Our "Cygnify 30 Day Hiring Commitment" is dependent on Client responsiveness to meet the recommended SLAs (per 2.a). As such, the Company will not be held liable or responsible for any hiring process that exceeds the recommended 30 days.
3. Payment Terms
3.a. Monthly subscription payment is made online via credit card, PayPal, or bank transfer.
3.b. The monthly subscription is auto-renewed until the candidate signs the client employment contract.
3.c. Upon the candidate signing the client employment contract, the completion fee will be charged (per 3.d).
3.d. All payments shall be processed immediately on the registered credit card or within seven (7) days of the invoice date if paid by bank transfer.
3.e. Payments made by the client to the company are non-refundable and there is no guarantee period for a candidate placement.
3.f. In the event that the monthly subscription payment is overdue by more than 14 calendar days, the job cancellation fee (per 4.b) will be applied and payable immediately (per 3.d).
4. Cancellation Policy
4.a. The subscription has no lock-in periods and can be cancelled with a 1-month notice. The subscription will be cancelled following the completion of the notice period.
4.b. A cancellation fee of 50% of the completion fee will be charged if the client cancels/closes the role within the first 3 months.
4.c. For avoidance of doubt, cancelling is deemed reasons outside of the Company control, this can be due to a change in Client requirements, the role is filled with an internal/external candidate not introduced by the Company.
4.d. If the Company deems that the Client is not fairly and reasonably committing to the partnership and process (per 2.a), the Company reserves the right to charge for the cancellation fee (per 4.b) and close the job requisition.
5. Candidate Ownership
5.a. Should any candidate introduced by the Company to the client be employed by the Client (including any Associated Companies of the Client) within a period of 12 (twelve) months from the date of introduction, a service delivery fee will be charged and payable as per payment terms 3.c and 3.d.
5.b. Should the Client forward any candidate’s information to any third parties resulting in employment, whether for permanent or contract, full or part-time, Client will be charged the service delivery fee.
6. Entire Agreement
6.a. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, written or oral, relating to its subject matter.
7. Amendments
7.a. Any amendments to this Agreement must be in writing and signed by both parties.
8. Governing Law
8.a. This Agreement shall be governed by and construed in accordance with the laws of Singapore.
